Banca Ifis: Riccardo Preve and Moroello Diaz della Vittoria Pallavicini co-opted as Members of the Board of Directors

Mestre (Venice), 11 December 2025 – Banca Ifis announces that, following the positive completion of the prior suitability assessment by the Bank of Italy on 3 December, the Board resolution of 23 October concerning the co-opted appointments – pursuant to Article 2386 of the Italian Civil Code and Article 11 of the Articles of Association, and subject to the suspensive condition of a positive suitability assessment by the Bank of Italy – has become effective. As a result, Mr Riccardo Preve (non-independent) and Mr Moroello Diaz della Vittoria Pallavicini (independent) have been appointed to replace resigning directors Giovanni Meruzzi and Monica Regazzi, who were appointed in September 2025 to the Board of Directors of illimity in order to ensure oversight by the parent company during the integration phase.

The co-opted directors will remain in office until the next Shareholders’ Meeting of Banca Ifis, which will be asked to confirm them for the full term of the current Board.

Mr Moroello Diaz della Vittoria Pallavicini has also been appointed as a member of the Remuneration Committee, replacing Prof. Giovanni Meruzzi. The Remuneration Committee is therefore composed as follows: Beatrice Colleoni (Chair), Moroello Diaz della Vittoria Pallavicini and Luca Lo Giudice.
